Terms and Conditions

These Terms and Conditions (“Terms”) are a legally binding agreement between you and Prime Fundamentals LLC (“Prime Fundamentals,” “we,” “us,” or “our”) governing your access to and use of OurFable, including its website, dashboard, APIs, Discord bot and integrations, public project pages, recruitment and electronic-signature tools, documentation systems, AI-assisted features, backup systems, and related services (collectively, the “Service”).

You must actively accept the current version of these Terms and our Privacy Policy before using protected portions of the Service or interacting with the Discord bot. We may retain an electronic record of your acceptance, including the accepted version, date and time, account identifier, browser information, and a security-protected connection identifier. If you do not agree, do not use the Service.

By accepting these Terms for a company, studio, Discord server, client, or other organization, you represent that you have authority to bind that organization. In that case, “you” includes both you and the organization.

You must be at least 18 years old or the age of legal majority where you live, legally able to enter into these Terms, and authorized to act for any organization or Discord server you represent. You may not use the Service if applicable law prohibits you from doing so.

• You must provide accurate information and maintain control of the Discord account, email, device, and credentials used to access the Service.
• You are responsible for activity performed through your account and for actions taken by users you invite, approve, or authorize.
• You must promptly revoke compromised credentials, rotate exposed API keys or webhook tokens, and notify us of suspected unauthorized access.
• You may not impersonate another person, bypass role-based controls, or access a workspace without an active authorized membership.

Workspace owners and administrators are responsible for configuring roles, permissions, legal requirements, integrations, public visibility, and access appropriately. Discord server ownership or Administrator permission may permit bot installation and creation of a new workspace, but it does not grant access to the private content of an existing OurFable workspace.

OurFable provides tools for project and task management, Discord workflow synchronization, documentation, public project briefs, recruiting, electronic signatures, time tracking, QA, integrations, support, security, backup, and automation. Features may vary by plan, deployment, role, workspace, provider availability, and region.

When an authorized Discord server administrator installs the OurFable bot or enables an automation, that administrator authorizes the Service to create, read, update, synchronize, archive, or delete managed Discord roles, channels, categories, messages, commands, permissions, and related workspace records as reasonably necessary to carry out the selected features, instructions, and settings. The server administrator is responsible for reviewing requested bot permissions, keeping the bot role in an appropriate hierarchy position, limiting administrator access, and testing automation before relying on it.

The Service is a workflow and information-management tool. It is not legal, accounting, tax, employment, human-resources, investment, medical, or other professional advice. Recruitment, contracts, signatures, compensation, worker classification, privacy compliance, and project operations remain the responsibility of the applicable workspace organization and its qualified advisors.

• Free and paid features, quotas, plan limits, and prices are described at purchase or in the Service and may change prospectively.
• Paid fees are due in the currency and on the schedule shown at checkout. Taxes may be added where required.
• Payment processing may be provided by a third party, whose terms and privacy policy also apply to the transaction.
• Studio keys, licenses, coupons, and entitlements are personal to the purchasing customer or designated organization and may not be resold, transferred, duplicated, reverse engineered, or used fraudulently unless we approve in writing.
• To be eligible for consideration, a refund request must be submitted within 30 calendar days after the applicable payment. Requests made after that period are not eligible except where applicable law requires otherwise or we expressly agree in writing.
• A request submitted within 30 days is not an automatic promise of a refund. We may require reasonable purchase verification and may deny requests involving abuse, fraud, chargeback manipulation, material Terms violations, or consumption of non-recoverable third-party services, subject to applicable law.
• When a refund is approved or issued, Prime Fundamentals may immediately revoke the refunded license or key, downgrade the account, stop bot automation, disable paid features, and terminate related Service access without further notice.

If a paid plan renews automatically, checkout or account materials will state the renewal terms and available cancellation method. Cancellation prevents future renewal but does not retroactively refund the current term unless the refund provision above or applicable law requires otherwise.

You may not use the Service to:

• Violate law, regulation, court order, contractual duty, intellectual-property right, privacy right, publicity right, or another person’s rights.
• Upload malware, exploit code, stolen credentials, destructive payloads, or content intended to compromise systems, accounts, servers, or users.
• Probe, scan, attack, overload, disrupt, evade, or bypass security, rate limits, permissions, authentication, billing, plan limits, or technical controls.
• Harass, threaten, exploit, discriminate against, defraud, deceive, impersonate, or unlawfully monitor another person.
• Use public project pages, recruiting tools, or communications for spam, deceptive opportunities, unlawful employment practices, or unauthorized collection of personal information.
• Collect, store, publish, or transmit highly sensitive or regulated information unless you have a lawful basis, appropriate safeguards, and all required approvals.
• Scrape, copy, resell, sublicense, rent, or commercially exploit the Service or data obtained from it except as expressly permitted.
• Reverse engineer, decompile, disassemble, derive source code from, or create a competing service from protected portions of OurFable except where law expressly permits and cannot be waived.
• Use AI-assisted features to generate unlawful, infringing, deceptive, abusive, or harmful material, or to make high-impact decisions without qualified human review.

“Your Content” means information, files, text, video, project materials, applications, Wiki documents, tasks, comments, links, public-page content, and other material that you or your authorized users submit to the Service. You retain ownership of Your Content as between you and Prime Fundamentals.

You grant Prime Fundamentals a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, technically format, back up, and otherwise use Your Content as necessary to provide, secure, support, maintain, and improve the Service and to comply with law. This license lasts only as long as reasonably necessary for those purposes, including reasonable backup and legal-retention periods.

You represent and warrant that:

• You have all rights, permissions, consents, and lawful bases necessary to submit and use Your Content.
• Your Content and your use of it do not violate law, contracts, confidentiality duties, or third-party rights.
• You have authority to publish any project information, images, video, roles, recruiting statements, or links shown on a public project page.
• You will not treat the Service as the only copy of critical project, legal, financial, operational, or production information and will maintain appropriate independent backups.

Private workspace content is intended to be visible only to active authorized workspace members and users with a specific workspace-scoped permission. A person who is removed from a workspace loses dashboard and API access to that workspace unless and until access is lawfully restored. OurFable may return a generic unavailable response rather than disclose whether a private workspace exists.

Certain content is intentionally public or invite-accessible, including a published public project page and candidate application or signature pages accessed through a valid invitation. Workspace administrators are responsible for deciding what to publish and for revoking public or candidate access when appropriate.

A workspace lead may publish a public project page to share project details with prospective team members. Public pages are accessible without a dashboard account to anyone who has or discovers the link. Do not publish confidential, proprietary, personal, export-controlled, unreleased, or otherwise restricted information. Workspace administrators are solely responsible for the accuracy, legality, compensation statements, recruiting claims, media rights, and continued availability of their public pages.

We may remove or disable a public page that appears unlawful, deceptive, abusive, infringing, insecure, or inconsistent with these Terms. Publication through OurFable does not mean Prime Fundamentals endorses or participates in the project, employment opportunity, compensation arrangement, or team.

Workspace organizations—not Prime Fundamentals—are responsible for candidate communications, application criteria, hiring or volunteer decisions, compensation, worker classification, background checks, accommodations, nondiscrimination, record retention, contract language, legal notices, and compliance with employment and labor law. OurFable does not guarantee that an applicant is qualified, that a document is legally sufficient, or that an electronic signature will satisfy every jurisdiction or transaction.

Electronic records and signatures may have legal consequences. Only submit, request, approve, or sign documents that you understand and are authorized to execute. Obtain independent legal advice for NDAs, employment agreements, contractor agreements, intellectual-property assignments, and other legal documents.

AI features may send prompts or selected workspace content to a provider configured by an authorized administrator. AI output may be incomplete, incorrect, outdated, biased, non-unique, or unsuitable. You are responsible for reviewing output, verifying facts, protecting confidential information, checking intellectual-property and licensing implications, and deciding whether to use it. Do not rely on AI output as legal, safety-critical, financial, employment, or other professional advice.

Prime Fundamentals does not guarantee ownership, originality, availability, or non-infringement of AI output. Provider-specific terms, usage restrictions, and privacy practices also apply.

The Service may interoperate with Discord, payment processors, hosting providers, databases, source-control platforms, AI providers, storage systems, and other third parties. We do not control third-party services and are not responsible for their availability, security, content, changes, acts, or omissions. You authorize us to exchange information with a connected service as necessary to perform the requested integration. Your use of a third-party service is governed by that provider’s terms and policies.

The Service, software, APIs, interface, design, code, documentation, trademarks, logos, visual assets, workflows, and other materials provided by Prime Fundamentals are owned by Prime Fundamentals or its licensors and protected by intellectual-property law. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your authorized internal project operations. No rights are granted except as expressly stated.

“Prime Fundamentals,” “OurFable,” related logos, and product branding are trademarks or brand identifiers of Prime Fundamentals LLC. You may not use them in a way that suggests sponsorship, partnership, endorsement, or ownership without written permission.

If you provide suggestions, ideas, bug reports, or other feedback, you grant Prime Fundamentals a perpetual, worldwide, irrevocable, royalty-free right to use, reproduce, modify, disclose, and incorporate that feedback without restriction or compensation, provided that we do not publicly identify you as the source without permission.

You may stop using the Service at any time. Workspace owners may remove users and delete workspaces subject to the Service’s controls. We may immediately suspend, restrict, downgrade, or terminate access when reasonably necessary to address nonpayment, an issued refund, a chargeback, legal requirements, security risk, abuse, prohibited activity, material breach, harm to users or systems, provider restrictions, or discontinuation of the Service.

When a refund is approved or sent, the associated paid entitlement may end immediately. The bot, dashboard, API, automations, integrations, storage, support, or other paid functionality may be disabled at once, and you are responsible for exporting any permitted data before requesting a refund.

Upon termination, your right to use the Service ends. Sections that by their nature should survive—including ownership, payment obligations, disclaimers, limitations, indemnity, dispute terms, and licenses necessary for retained backups or legal records—will survive. Data export and deletion are subject to plan features, workspace permissions, technical feasibility, backups, and law.

We work to provide a reliable Service but do not guarantee uninterrupted, error-free, secure, or permanent availability. Maintenance, provider outages, Discord or API changes, internet failures, attacks, credential compromise, bugs, automation errors, configuration mistakes, and other events may affect the Service. Beta, preview, experimental, or free features may change or end at any time and may have additional limitations.

Backup, export, Warden, reconciliation, recovery, and role-safety features are risk-reduction tools and are not guarantees. Backups may be incomplete, delayed, corrupted, unavailable, incompatible, or affected by provider limits, configuration, retention settings, encryption keys, human error, attacks, or software defects. A successful backup status does not guarantee that every record, file, Discord object, role, permission, or integration can be restored.

You are responsible for maintaining independent, tested copies of critical information and for reviewing Discord audit logs, role hierarchy, bot permissions, integration credentials, and restoration results. Unless a separate signed agreement expressly states otherwise, Prime Fundamentals has no obligation to reconstruct lost data or manually restore third-party systems.

To the maximum extent permitted by law, the Service is provided “as is” and “as available.” Prime Fundamentals disclaims all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, quiet enjoyment, and results.

We do not warrant that the Service will meet every legal, production, recruiting, archival, security, employment, or business requirement; that integrations will remain available; that content, credentials, roles, permissions, channels, messages, or files will not be lost, altered, exposed, corrupted, or deleted; that unauthorized access, hacking, malware, attacks, or provider incidents will not occur; or that all errors, threats, or harmful bot actions will be detected, prevented, reversed, or corrected.

To the maximum extent permitted by law, Prime Fundamentals and its owners, affiliates, personnel, contractors, licensors, and providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or reliance damages; loss of profits, revenue, goodwill, data, content, opportunities, contracts, or business interruption; unauthorized access, hacking, security incidents, credential compromise, malware, data corruption, failed backups, or provider outages; Discord role, permission, channel, category, message, member, or server changes; automation or integration errors; or the cost of substitute services, arising from or related to the Service or these Terms, even if advised of the possibility.

To the maximum extent permitted by law, the total aggregate liability of Prime Fundamentals for all claims arising from or related to the Service or these Terms will not exceed the greater of one hundred U.S. dollars or the amount you paid directly to Prime Fundamentals for the Service during the twelve months before the event giving rise to the claim.

Some jurisdictions do not allow certain disclaimers or limitations, so portions of this section may not apply to you. Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence where it cannot be limited, or any other liability or statutory right that cannot lawfully be excluded or limited.

To the extent permitted by law, you will defend, indemnify, and hold harmless Prime Fundamentals and its owners, affiliates, personnel, contractors, licensors, and providers from claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable attorneys’ fees arising from or related to Your Content, your public project page, your recruiting or workforce practices, your Discord configuration, your bot instructions or automation settings, your integrations, your violation of these Terms or law, or your infringement of another person’s rights. We may control the defense of a covered matter, and you will reasonably cooperate.

These Terms are governed by the laws of the State of Florida and applicable United States federal law, without regard to conflict-of-law principles. To the extent permitted by law, any dispute that is not resolved informally must be brought exclusively in a state or federal court located in Florida in the county of Prime Fundamentals LLC’s principal office, and each party consents to personal jurisdiction and venue there. A non-waivable law may require a different forum or provide additional rights.

Before filing a formal claim, each party agrees to provide written notice and attempt in good faith for at least 30 days to resolve the dispute informally. Nothing prevents either party from seeking urgent injunctive relief for security, confidentiality, or intellectual-property harm.

We may update these Terms to reflect changes to the Service, business, risk, or law. We will update the effective date and provide additional notice when required. Unless law requires otherwise, changes apply prospectively. When we designate a revised version as requiring renewed acceptance, you must actively accept that version before continuing to use protected Service features or the Discord bot.

• These Terms and incorporated policies are the entire agreement regarding the Service and replace prior discussions or agreements on the same subject, unless a separately signed agreement states otherwise.
• If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain in effect.
• Our failure to enforce a provision is not a waiver. A waiver must be in writing.
• You may not assign these Terms without our written consent. We may assign them in connection with a reorganization, financing, sale, or transfer of the Service or business.
• Headings are for convenience only. “Including” means “including without limitation.” Electronic communications and records satisfy written-notice requirements where legally permitted.
